Contract Administration - Experienced
Responsibilities
We are looking for an addition to our Eastman team to fill an exciting Contracting Center of Excellence leadership role as Contracts Representative within the Eastman Law Department.
Contract Representatives are responsible for partnering with their respective businesses or functions to create drafts of various procurement contracts, obtain approvals and signatures, manage the contract record, and monitor contract performance. This role requires strong written and oral communication skills to partner with Global Sourcing and Procurement (GSP) teams, Directors, Business Lawyers and other internal customers to streamline and simplify the contracting process to better meet business needs.
Major Job Responsibilities:
1) Contract Authoring
•Partner with GSP to understand expectations and key principles of anticipated contract, then prepare draft of contract.
•Maintain in-depth knowledge of contract language and best practices; provide suggestions to internal customers based on best practices.
•Partner with GSP to understand strategies, goals and objectives, and long-term view of success to better guide the business in drafting contracts.
•Partner with Business Lawyers and Regional Lawyers(s) relevant to the subject matter to solicit advance advice and guidance on legal implications of contract provisions, interpretation, and alternatives.
•Understand and identify unique contract requirements for various jurisdictions.
•Interpret the impact of contract amendments and determine proper approval levels.
•Support full usage and utilization of the Eastman Icertis Contract Lifecycle Management (CLM) platform. This may include optimizing templates, creation, enhancement, & maintenance of clause libraries, and workflows.
2) Contract Management
•Partner with GSP to identify contract areas for monitoring or action.
•Collaborate with primary contract owners to ensure associated documentation is stored within the CLM system.
•Build and maintain plan to enable successful contract compliance, including reviewing and analyzing data within Icertis CLM and other platforms (ex: Power BI)
3) Business Resource
•Proactively identify necessary and valuable analytics, documents, and reports to provide to key stakeholders working within Global Contracting COE to implement.
•Resource to GSP for company best practices and creative contract solutions
4) Contract Administration
•Maintain contracts in Icertis CLM system.
•Managing and obtain all necessary internal and external approvals/signatures.
•Recommend enhancements for contract creation and management process.
Qualifications
Required Education:
•Bachelor’s Degree from an accredited college or university is required
•MBA, law degree, or paralegal certification preferred
Required Experience:
•3-5 years prior experience working with procurement agreements and other various contracts
Skills and Knowledge:
•Strong written and oral communication skills (English required)
•Extreme attention to detail in all aspects of work product, include drafting, review, analysis, summaries, checklists, and all data entries into Icertis CLM.
•Strong customer focus and proactive nature
•Proficiency in Microsoft Word, Outlook, Excel, and PowerPoint
•Ability to multi-task and prioritize conflicting deadlines for multiple internal customers.
•Ability to collaborate cross-functionally.
•Critical thinking and problem-solving skills
•Icertis CLM (or similar contract management system) and SAP experience preferred.
