For the Legal Department of Eastman, we are currently looking for a Senior Corporate Securities Attorney and Assistant Secretary with strong experience in (i) drafting and reviewing regulatory documents required for filing with the Securities and Exchange Commission (the “SEC”), (ii) managing corporate governance and updating and drafting policies and procedures for compliance with NYSE and SEC regulations and requirements, (iii) maintaining awareness of governance trends and making appropriate recommendations, and (iv) reviewing corporate communications including communications with investors, disclosures, press releases, marketing materials, and investor presentations.  This role is for a hands-on person with great attention to detail, excellent people skills, a constant learner, and an excellent writer who can help weave our corporate story throughout various filings and releases. Ideally, the position will be based in Kingsport, Tennessee (Corporate Headquarters); however, we are open to remote work arrangements with travel to the Corporate Headquarters as-needed during certain specified time periods. 

The Position
The position is a key member of the corporate team and provides an exciting opportunity to work in a professional, dynamic, and international company where we are working to change the world in a material way through innovation and ground-breaking circular technologies.  Your primary responsibility would be to work with our executives to ensure our compliance with applicable securities laws and stock exchange regulations, prepare and review SEC filings including registration statements and Forms 10-K, 10-Q and 8-K, and review and working with our disclosures team to advise on internal and external corporate communications.  Your responsibilities will also include working with an internal team and outside counsel in public debt offerings both inside and outside the United States, working with our team on executive compensation compliance and disclosures, and working as a member of the team focusing on Mergers and Acquisitions and other strategic initiatives. This position reports to the Vice President, Legal, and Corporate Secretary.
 

Qualifications

The Profile

  • Juris Doctorate from accredited law school; active member of at least one US State bar in good standing; able to obtain membership in the Tennessee bar.
  • A minimum of 8 years’ experience ideally comprised of relevant securities law and public company reporting experience with a high-caliber law firm or relevant government agency and in-house experience with a NYSE publicly-traded multinational company.
  • Demonstrated ability to (i) identify and raise salient issues, (ii) draft language and propose various options that consider relevant strategic or business goals, and (iii) communicate issues, risks, and solutions clearly and concisely to lawyers and non-lawyers alike.
  • Creative thinker and an effective storyteller who is willing to learn and understand our corporate mission and advocate passionately for our business. 
  • Experience dealing with diverse constituencies and external parties (board members, investors, senior management, regulators, and external counsel)
  • Experience with ESG reporting.
  • Proven ability to handle multiple projects and assignments simultaneously, without significant direct supervision from a senior attorney, and still meet high quality and timeliness standards.
  • Constant learner of new things, adaptive, and willingness to share them with your team members.

  • International legal experience is a plus.
  • Strong/innate sense for business ethics, compliance, and legitimacy in business dealings.
